ProAudit — Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of ProAudit, including https://proaudit.me, https://app.proaudit.me, order forms, tracking pages, email notifications, generated reports and related services (collectively, the “Service”). The Service is operated by JEDITOOLS DOO (“ProAudit”, “JEDITOOLS”, “we”, “us”, or “our”).

By submitting an order, paying for a report, accessing a report, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

ProAudit provides one-time, paid, AI-assisted business idea audit reports based on information submitted by you. Reports may include structured observations about the idea, potential risks, strengths, weaknesses, assumptions, validation steps and suggested next actions.

ProAudit is an informational digital product. It is not a business formation service, investment service, financial advisory service, legal service, tax service, accounting service, medical service or any other regulated professional service.

2. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to use the Service or purchase a report. If you use the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity.

3. Orders and Delivery

To order a report, you provide an email address, report language preference, report type and a description of your business idea. We use this information to create your order, send transactional emails and generate the report.

After an order is created, we may send a confirmation email. After payment is confirmed and the report is generated, we may send a second email with a tracking page or download link. Delivery times shown on the website are estimates, not guarantees.

You are responsible for providing a correct email address and for checking spam, promotions or other filtered folders. Tokenized report links are private and should not be shared with people who should not access your report.

4. User Content and License

“User Content” means information you submit to the Service, including your idea description, one-sentence pitch, business assumptions and support messages. You retain any rights you have in your User Content.

You grant us a limited, worldwide, non-exclusive, royalty-free license to host, store, process, transmit, analyze, format and use your User Content solely as necessary to provide, secure, support and improve the Service, generate your report, comply with legal obligations and enforce these Terms.

Do not submit information that you are not allowed to share, highly sensitive personal data, regulated data, third-party confidential information, trade secrets, payment card data, health data, government identifiers, or personal data about other people unless you have a lawful basis and it is strictly necessary.

5. AI-Assisted Output; No Professional Advice

Reports may be generated or assisted by artificial intelligence systems and automated workflows. Output may be incomplete, outdated, inaccurate, biased or based on assumptions. You should independently verify all important information before making decisions.

The Service and reports do not constitute legal, financial, investment, tax, accounting, employment, medical, compliance, licensing, fundraising or other professional advice. The report is not a guarantee of market demand, profitability, product-market fit, fundraising success, regulatory compliance, business success or any specific outcome.

You remain solely responsible for your business decisions, implementation choices, compliance obligations and any actions you take based on a report.

6. Payments and Merchant of Record

Paid orders are processed through PayPro Global acting as Merchant of Record. PayPro Global may sell the digital report in its own name, process payments, issue invoices and receipts, calculate and remit applicable taxes, perform fraud checks, administer refunds and provide payment-related support through its platform. The applicable PayPro Global entity may appear on your receipt, invoice, bank statement or payment confirmation.

We do not store full payment card numbers. PayPro Global’s checkout, payment and billing terms may also apply to payment-related matters.

7. Immediate Digital Performance and Refunds

Report generation starts immediately after payment is confirmed. By purchasing a report and confirming the immediate-generation consent in the order or checkout flow, you request and agree that ProAudit may begin providing the digital report before any statutory withdrawal period expires. As a result, cancellation or withdrawal rights may be limited or lost to the extent permitted by applicable law once generation or delivery has started.

Refund eligibility is described in our Refund Policy. Your mandatory consumer rights remain unaffected.

8. Acceptable Use

You agree not to:

  • use the Service for illegal, harmful, fraudulent, deceptive, abusive or infringing activity;
  • submit content that violates law, third-party rights, confidentiality obligations or platform policies;
  • submit malware, credentials, payment card data or unnecessary sensitive personal data;
  • attempt to bypass payment, usage limits, security controls, rate limits or access controls;
  • reverse engineer, scrape, overload, disrupt or interfere with the Service where prohibited;
  • use the Service to obtain regulated professional advice or services that require a license;
  • resell reports or present them as certified, guaranteed, professional or regulatory opinions.

9. Confidentiality and Security

We treat submitted ideas and generated reports as private customer content and use reasonable technical and organizational measures to protect them. However, unless we separately sign a written non-disclosure agreement, the Service is not an NDA service and should not be used as a repository for highly confidential or regulated information.

10. Availability and Changes

The Service is provided on an “as is” and “as available” basis. We may change, suspend or discontinue features, report formats, providers, pricing or availability where reasonably necessary. We may perform maintenance, update prompts, change vendors or improve report generation logic without notice where this does not materially reduce already purchased rights.

11. Disclaimers and Limitation of Liability

To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, non-infringement, accuracy, uninterrupted availability and error-free operation.

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, punitive or exemplary damages, lost profits, lost revenue, lost opportunities, business interruption, loss of goodwill, loss of data or decisions made based on a report.

To the maximum extent permitted by law, our aggregate liability for all claims relating to the Service is limited to the amount you paid for the report giving rise to the claim.

12. Indemnity

You will indemnify and hold us harmless from claims, damages, liabilities, costs and expenses arising from your unlawful use of the Service, your User Content, your breach of these Terms or your violation of third-party rights.

13. Data Protection

Our processing of personal data is described in our Privacy Policy. Where applicable to business customers, our Data Processing Addendum may apply. PayPro Global acts as an independent merchant/payment controller for billing data it collects through checkout.

14. Suspension and Refusal

We may refuse, suspend or cancel access to the Service if we reasonably believe that an order, content or use case violates these Terms, creates legal or security risk, is fraudulent, is abusive, or is prohibited by our payment provider or other vendors. Where appropriate, refund eligibility will be handled under the Refund Policy and applicable law.

15. Consumer Rights

Nothing in these Terms excludes or limits rights that cannot be excluded or limited under applicable consumer protection laws. If you are a consumer, mandatory rights under your local law remain unaffected.

16. Governing Law and Venue

These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except where mandatory consumer protection law provides otherwise.

17. Governing Language

These Terms are provided in English. Any translations are for convenience only. The English version prevails to the maximum extent permitted by law.

18. Export Controls and Sanctions

You represent that you are not located in, organized under the laws of, or ordinarily resident in a country or territory subject to comprehensive sanctions, and that you are not on any sanctions list. You must not use the Service in violation of applicable export control or sanctions laws.

19. Changes to these Terms

We may update these Terms from time to time. Material changes will be posted on this page or communicated by email where feasible. The updated Terms apply from the effective date shown on the page.
